Corporate Governance and Nomination Committee

Cathay Financial Holdings (CFH) has the Corporate Governance and Nomination Committee, which is composed of three Directors (including two Independent Directors). Ming-Ho Hsiung, the convener of the committee and director, possesses expertise in “Actuarial Science/Management”; members of the committee and independent directors, including Edward Yung-Do Way and Li-Ling Wang, possess expertise in “Management/Audit”, “Risk Management/Corporate Governance” respectively. The Committee assists the Board of Directors to enhance corporate governance effects. The Corporate Governance and Nomination Committee is responsible for：

  1. Nominate candidates for the Directors of CFH and examine the qualifications of Directors’ Candidates；

  2. To consider CFH's Board of Directors of the operation of the relevant rules and amendments；

  3. To construct the organizational structure of the functional committees and to consider the formulation and revision of the organizational rules of the functional committees；

  4. Review and amend the code of practice for corporate governance of CFH；

  5. Board of Directors pointed out the other matters that need to be handled by the committee.

The Corporate Governance and Nomination Committee may hold meetings as and when necessary and within its terms of reference, it is entitled to appoint outside legal counsels, certificated public accountants or other related parties to attend a meeting of the Committee and provide information.
